Key Policies
Please review these terms before continuing.

GST
All plan fees and add-on charges are exclusive of 18% GST. GST shall be charged additionally as applicable on all invoices.

Plan Validity, Changes & Cancellation
All plans are valid for 12 months from the date of activation.
Once activated, plans:
- Cannot be upgraded, downgraded, transferred, or converted during the active term
- Are non-cancellable and non-refundable
- Do not allow carry-forward of unused features, services, or benefits

Commission (Important)
Commission is charged only on Nexby-generated bookings/orders, including:
- Dine-in reservations
- Direct customer orders placed via the Nexby platform
Orders fulfilled via third-party platforms such as Swiggy or Zomato:
- Are not subject to Nexby commission, even if accessed through Nexby-provided redirection links

Aggregator Clarification (Swiggy / Zomato)
Nexby may provide redirection links to third-party platforms (e.g., Swiggy, Zomato) for order placement.
However:
- Such orders are fulfilled entirely on third-party platforms and are governed by their respective terms
- Nexby does not control pricing, delivery, or customer experience on these platforms
POS Integration Scope:
- Standard Plan: Not available
- Growth Plan: Available as an optional paid add-on (₹1,999 + GST)
- Pro Plan: Included

Add-On Features & Usage
Add-on services (Promotions, Shoutouts, Featured Listings, etc.) are available only to active plan subscribers.
- Included units are provided as per the selected plan
- Each unit is valid for a limited duration (typically 7 days from activation)
- Units are non-transferable and subject to availability and platform capacity
- Unused units expire at the end of the plan term
- Included units (if any) are non-carry forward and expire at the end of the plan term.

Add-On Pricing
Additional units for marketing features are available as follows:
- ₹699/unit + GST (Growth Plan)
- ₹499/unit + GST (Pro Plan)

POS & Platform Scope
- Standard Plan includes POS functionality only and does not provide Nexby listing, customer discovery, or booking capabilities
- Growth and Pro Plans enable Nexby platform visibility, customer acquisition, and booking/order generation features

Hardware Provisioning (Pro Plan Only)
- *Thermal Printer (Pro Plan): One standard thermal printer device is included with the Pro Plan.
- If the Service Provider declines to receive the printer at the time of onboarding, a deduction of ₹1,999 from the plan fee will be applicable.
- Device model, specifications, and warranty (if any) shall be as per Nexby’s standard provisioning.
- Nexby shall not be responsible for third-party device failures, misuse, or connectivity issues outside the platform environment.

Multi-Staff Access (Pro Plan Only)
- **Multi-Staff Access: Allows the Service Provider to create and manage multiple staff logins with controlled access to the POS system. The number of staff accounts may be subject to reasonable limits as defined by Nexby.
- Access levels, user limits, and permissions may be defined or restricted as per Nexby’s system capabilities and plan configuration.
- Nexby reserves the right to apply fair usage limits or reasonable restrictions to prevent misuse.

Feature Availability & Fair Usage
All features are subject to platform capacity, availability, and operational limits.
Nexby reserves the right to manage allocation of promotional slots, visibility placements, and feature usage to ensure fair distribution across Service Providers.
Nexby may provide certain technology tools, including but not limited to Property Management System (PMS), Channel Manager integrations, Billing/POS systems, booking dashboards, CMS tools, and reporting or print formats (including invoices, receipts, and summaries).
These tools are provided solely as facilitative software utilities for operational convenience. The Service Provider may choose to use or not use such tools based on their operational preference and plan availability. Nexby shall not be held responsible for any errors, discrepancies, or operational issues arising from the usage, misuse, or non-usage of these tools.

Custom Plans & Exceptions
In certain cases, customized pricing, features, or integrations may be offered.
All such exceptions:
- Must be documented in writing
- Shall be governed exclusively by Annexure B – Custom Plan
- Shall override standard plan inclusions where applicable

Acceptance of Terms
By proceeding with onboarding, payment, or activation, the Service Provider confirms that:
- All pricing, features, and policies displayed on the platform have been reviewed and accepted as indicative of the selected plan
- Final commercial terms, scope, and commitments shall be governed strictly by the executed Service Provider Agreement, including the Plan Confirmation & Commercial Terms Sheet (PCS) and applicable Annexure(s), if any
- Payment made through the platform or payment gateway shall be treated as a confirmation of the selected plan and commercial intent, and shall be duly reflected in the final onboarding documentation
- In cases where payment is completed prior to execution of the formal agreement, Nexby’s onboarding team shall connect with the Service Provider to complete documentation, verification, and onboarding formalities
- Any plan-specific customizations, negotiated terms, or deviations (if applicable) shall be mutually agreed and documented in writing (including PCS, Annexure, or official onboarding communication) and shall prevail accordingly
- In case of any conflict, the terms documented in the executed PCS and applicable Annexure shall prevail over general plan descriptions, to the extent of such agreed customization
